Terms of Service
The short version
- You pay a share of the product revenue from orders that use one of our one-use discount codes, at the rate in your Order Form. Nothing else counts as ours.
- You confirm that every customer we text has given valid consent, and you keep the consent data in your store accurate. This is your legal responsibility.
- Our assistant is an AI. It introduces itself by name for your brand, never claims to be a person, and says it is an AI whenever someone sincerely asks.
- We charge the card on file every Monday, and straight away if unbilled fees reach $2,500. Fees work like ad spend: a customer refund does not reduce them.
- If a payment fails, new conversations pause until it’s paid. You can cancel any time; fees already earned stay payable.
This summary helps you find your way around. The numbered terms below are the binding agreement.
1. About these Terms
1.1 Who the agreement is between. These Terms of Service (the “Terms”) are a contract between BubbleSMS (“BubbleSMS”, “we”, “us” or “our”) and the business that creates a BubbleSMS account or connects a store to the Service (“you” or “your”).
1.2 What forms the agreement. The agreement (the “Agreement”) is made up of:
- your Order Form;
- the Data Processing Addendum (the “DPA”);
- these Terms;
- the Acceptable Use Policy, the Refund & Billing Policy and the Messaging Terms template; and
- the Subprocessors page.
Our Privacy Policy explains how we handle personal data as a business in our own right. It is provided for information and is not part of the Agreement.
1.3 Order of precedence. If documents in the Agreement conflict, they apply in this order: (a) the Order Form, but only for the commercial terms it sets out; (b) the DPA, for anything about personal data; (c) these Terms; (d) the other policies listed above.
1.4 Accepting the Agreement. You accept the Agreement by ticking the box during sign-up, by signing an Order Form, or by using the Service, whichever happens first. The person who accepts confirms that they are authorized to bind the business. The Service is for businesses only. It is not for personal, family or household use.
2. Definitions
In the Agreement, these words have the following meanings.
- Account: your BubbleSMS account, including every store you connect to it.
- Attributed Order: an order placed in your Store that redeems a One-Use Code, as described in section 8.3.
- Attributed Product Revenue: for an Attributed Order, the price of the products in the order after all discounts (including the One-Use Code), excluding taxes, shipping and handling charges, and duties.
- Authorized User: a person you or your team invite to use your Account.
- Brand Data: information about your business that you provide or that we gather from your public channels to set up and run the Service, such as your products, prices, policies, tone of voice and imagery.
- End Customer: a person who buys, or may buy, from your Store and whom the Service may message.
- End Customer Data: personal data about End Customers that we process for you, including phone numbers, names, email addresses, order and cart details, consent records and message content.
- Fee Rate: the percentage stated in your Order Form.
- Fees: the amounts payable under section 8.
- Go-Live: the moment a flow starts sending messages to End Customers after the review described in section 5.
- Messaging Channels: iMessage, SMS, RCS and any other channel through which the Service sends messages.
- One-Use Code: a single-use discount code that the Service creates in your Store and gives to one End Customer in a conversation.
- Order Form: the commercial terms you accept at sign-up (shown in the setup wizard) or that we sign with you, as updated under section 8.11.
- Service: the BubbleSMS messaging service, the client dashboard, the Shopify app and everything related that we provide under the Agreement.
- Store: each online store you connect to the Service, currently on Shopify.
3. Your account
3.1 Registration. You must give accurate and complete information when you create your Account, and keep it up to date. Sign-in uses one-time codes sent by email (and by text, if you choose).
3.2 Owners and team members. Each Account has at least one owner. Owners can invite Authorized Users, change their roles and remove them. Only owners see and manage billing. You are responsible for everything done through your Account and for making sure your Authorized Users follow the Agreement.
3.3 Security. Keep access to your email inbox and devices secure, and tell us at legal@bubblesms.com straight away if you suspect someone has accessed your Account without permission.
3.4 United States only. The Service is offered to businesses that sell to End Customers in the United States, and it messages only phone numbers in the United States. You may not use it to message people outside the United States.
4. The Service
4.1 What we do. BubbleSMS is a done-for-you messaging service. Using data from your Store, our AI assistant holds two-way text conversations with End Customers who have agreed to receive marketing texts from you. The flows currently include:
- abandoned cart: a check-in after a customer leaves items in a checkout;
- post-purchase: a follow-up after an order, which may suggest a related product;
- review requests: after delivery, the assistant asks how things went. Customers who are happy get a link to leave a review on the review platform you choose (currently Trustpilot). Customers who are unhappy are passed to your support team and are not asked for a review;
- subscription recovery: where you connect a supported subscription app, messages about failed subscription payments and cancellations; and
- replies: answers to End Customers who write back, and handoff to your team when needed.
4.2 Channels. We send by iMessage where the End Customer’s phone supports it, and fall back to SMS or RCS where it doesn’t. We choose the channel, the sending number and the timing of each message.
4.3 Dashboard. You get a dashboard showing conversations, attributed revenue, Fees and settings. Through it you can pause any flow, take over a conversation, and change settings such as your discount ladder.
4.4 Changes to the Service. We improve the Service continuously, and we may add, change or remove features. If a change materially reduces the core Service, we will give you at least 30 days’ notice, and you may end the Agreement before the change takes effect.
4.5 Beta features. Features we label as beta or preview are provided as they are, may change or be withdrawn at any time, and are excluded from any commitments in the Agreement.
5. Setup and human review before go-live
5.1 Setup order. Setup follows these steps: (a) your details; (b) installing our app in your Store; (c) adding a card on our website (nothing is charged at this step); (d) we build your brand profile and campaigns; (e) a member of our team reviews them; (f) your flows go live.
5.2 Brand research. To build your brand profile, our systems read your Store data and your public channels, such as your website, product pages, policies and FAQs. From these we prepare your brand voice, product facts and sample messages.
5.3 Human review. A person on our team reviews your brand profile and sample messages before any flow goes live. You can see the samples in your dashboard and ask for changes. Go-Live happens only after that review. We may delay or refuse Go-Live if we are not satisfied that a flow is compliant or accurate.
5.4 Your approval of Brand Data. You are responsible for the accuracy of the Brand Data and for telling us when it changes, including prices, stock, shipping and return policies and offer rules. The assistant states facts about your business only from Brand Data and Store data, so wrong data can lead to wrong messages.
5.5 Carrier registration. Sending SMS to Android phones in the United States requires registering your business with US mobile carriers. iMessage does not. If you ask us to, we will submit the registration for you, using the business details you give us (such as your legal name, EIN, address and support contact), and host the SMS policy pages the carriers require. You confirm that those details are accurate and that you are allowed to share them. You authorize us to act as your agent for the registration. Approval is decided by the carriers and their registries, not by us, and we cannot guarantee it.
6. Your responsibilities: consent and compliance
6.1 Consent is your responsibility. Before we message an End Customer, you must hold, and be able to prove, that person’s prior express written consent to receive recurring automated marketing text messages from your brand at that phone number, as required by the Telephone Consumer Protection Act (TCPA), its regulations and any similar state law. The consent must:
- be collected through a clear opt-in, such as the SMS marketing checkbox at your checkout or a sign-up form, that the End Customer actively chooses;
- name your brand and say that the texts are recurring, automated marketing messages;
- say that consent is not a condition of purchase, that message frequency varies, that message and data rates may apply, and how to get help (HELP) and stop (STOP); and
- link to your Messaging Terms (we host a page for your brand) and to your privacy policy.
We provide recommended opt-in wording in the Messaging Terms template. Using it does not move your legal responsibility to us.
6.2 Consent data. We take each End Customer’s consent status from your Store. You must not mark anyone as subscribed to texts without their genuine consent, import or upload lists of phone numbers, or ask us to message people whose consent came from a third party, a purchased or rented list, or a co-registration or lead-generation source. We check recorded consent before every message, but we rely on what your Store tells us, and we do not independently verify it.
6.3 Opt-outs. We stop messaging an End Customer as soon as they reply STOP or otherwise ask, in their own words, to stop. You must tell us about opt-outs you receive through other channels (for example by email to your support team) by recording them in your Store, and you must not re-subscribe anyone who has opted out unless they opt in again themselves.
6.4 Your privacy notice. Your privacy policy must tell End Customers that you use service providers, including AI and messaging providers, to send and handle text messages, and must otherwise meet the law that applies to you.
6.5 Compliance with law. You must comply with all laws that apply to your business, your products, your offers and your marketing. These include the TCPA, the CAN-SPAM Act where email is used, state telemarketing and “mini-TCPA” laws, state privacy laws, consumer-protection and advertising law (including the FTC Act and the FTC rules on reviews and endorsements), and the terms of the platforms you use.
6.6 Acceptable use. You must follow our Acceptable Use Policy. In particular, we do not message on behalf of businesses in the restricted categories listed there.
6.7 Discounts and offers. You authorize us to create One-Use Codes in your Store within the discount ladder in your Order Form, and to give them to End Customers. You must honor every code we issue within its validity period. Discounts reduce your revenue. We never fund them.
6.8 Review requests. You decide whether to use review requests, and which review platform to use. You are responsible for making sure your review program complies with the law and with the platform’s rules. Our review flow sends the review link only to customers who say they are happy, and passes unhappy customers to your support team.
6.9 Customer support. When the assistant hands a conversation to your team (for example a complaint, refund request or medical question), you are responsible for responding to the End Customer.
6.10 Third-party platforms. You must keep your Store and any connected apps (such as subscription or review apps) active and in good standing, and comply with their terms. Your relationship with those platforms is between you and them.
7. The AI assistant and disclosure
7.1 Messages are written by AI. The assistant uses AI models to read conversations and write replies, within rules and limits we set. Messages are sent automatically, without a person reviewing each one, except where a conversation is handed to a person.
7.2 Persona. The assistant introduces itself by a first name you approve, as a member of your brand’s team (for example, “it’s Mia from the Acme team”). It never claims to be human and never invents personal details about itself. If an End Customer sincerely asks whether they are talking to a person, a bot or an AI, it says plainly that it is your brand’s AI assistant and that a teammate can step in.
7.3 Up-front disclosure where required. Where the law of the End Customer’s state requires an automated assistant to identify itself at the start of a conversation (for example, California’s law on bots used to encourage sales), the assistant’s first message says that it is an automated assistant.
7.4 You will not ask us to hide the AI. You must not instruct us, or set up the Service, to make the assistant claim to be a person or to deny being an AI.
7.5 Limits of AI. AI output can be wrong. We use guardrails: the assistant may only state facts from Brand Data and Store data, may only offer discounts from your ladder, and hands off complaints, refunds, legal and medical topics and anything it is unsure about. Even so, we do not promise that every message will be accurate or complete. You should review the samples we show you and tell us promptly about any message you consider inaccurate.
8. Fees, attribution and billing
8.1 The Fee. For each Attributed Order you pay a Fee equal to the Fee Rate multiplied by the Attributed Product Revenue. Your dashboard may also express the Fee Rate as a return target (for example, the revenue you get back for each dollar of Fees). That target is a way of reading the rate. It is not a promise of results.
8.2 What the Fee covers. The Fee is our only charge for the Service, including messaging, AI and platform costs, unless your Order Form says otherwise. There is no setup fee and no monthly subscription.
8.3 Attribution. An order is an Attributed Order only if it redeems a One-Use Code issued by the Service. That is the only test. It applies however the End Customer reached checkout and whoever places the order. There is no holdout or control group, and no time-window or last-click attribution, unless we both agree otherwise in writing in your Order Form.
8.4 When the Fee is earned: refunds don’t change it. The Fee works like ad spend. It is earned when the Attributed Order is placed. If you later refund, partly refund or accept a return of an Attributed Order, or an End Customer files a chargeback, the Fee is not reduced, credited or refunded, whether that happens before or after we bill you. The only exception: an Attributed Order that is cancelled (or that is a test order) before it is included in an invoice is skipped and never charged.
8.5 Billing schedule. We bill weekly in arrears. Every Monday (US Eastern time) we charge the Fees for Attributed Orders placed in the previous week. In addition, whenever your unbilled Fees reach $2,500 (or another threshold in your Order Form), we charge them straight away instead of waiting for Monday. Billing starts on the start date in your Order Form, or at Go-Live if no date is given.
8.6 Card on file. You add a payment card on our website, through our payment processor, when you create your Account. Card details are never collected inside Shopify, and we do not store full card numbers. By adding a card, you authorize us to charge it automatically for Fees as they fall due, with no fixed end date, until the Agreement ends and all Fees are paid. You must keep a valid card on file. You can replace it at any time on our website, through the link in your dashboard.
8.7 Invoices. Each charge comes with an invoice listing the Attributed Orders it covers. Invoices and receipts go to the account owner’s email address and are available in your dashboard.
8.8 Failed payments: no grace period. If a charge fails, or an invoice is written off as uncollectible:
- (a) no new conversations start for your Store from that moment, across all flows;
- (b) messages already waiting to be sent are held. Any message still held 48 hours after it was due is dropped and will not be sent later;
- (c) End Customers already in a conversation keep getting replies; and
- (d) everything resumes automatically once every failed invoice is paid.
We may retry the charge, and you may pay by updating your card. Unpaid Fees remain owed. We may also suspend your Account under section 13, or end the Agreement under section 17, if an invoice is still unpaid 14 days after the charge first failed.
8.9 Questions about an invoice. If you think an invoice is wrong, tell us in writing within 30 days of the charge, with the details. We will look at it in good faith. Please contact us before disputing a charge with your card issuer. Any credit or refund of Fees is at our discretion, except where the law requires otherwise. See the Refund & Billing Policy.
8.10 Taxes. Fees do not include taxes. You are responsible for any sales, use, value-added, goods and services or similar taxes on the Fees, other than taxes on our own income. If the law requires you to withhold tax from a payment, you will increase the payment so that we receive the full amount we would have received without the withholding.
8.11 Changes to the Fee Rate or billing terms. We may change the Fee Rate, the early-charge threshold or other billing terms by giving you at least 30 days’ notice. A change applies only to orders placed on or after its effective date and never changes invoices already issued. If you do not agree to a change, you may end the Agreement before it takes effect.
8.12 Currency. Fees are charged in US dollars.
9. Data and privacy
9.1 Roles. For End Customer Data, you are the business (controller) and we are your service provider (processor). The DPA governs how we process End Customer Data and forms part of the Agreement.
9.2 Your data stays yours. As between us, you own End Customer Data and Brand Data. We use them only to provide, secure and support the Service for you, and as the DPA allows.
9.3 No selling. We do not sell or share End Customer Data for cross-context behavioral advertising, and we do not use it to market to End Customers for anyone other than you.
9.4 Service improvement. We may use data about how the Service performs, such as reply rates, timing and message outcomes, to improve the Service, but only in aggregated or de-identified form that does not identify you, your Store or any End Customer. We do not use End Customer Data to train general-purpose AI models, and we use AI providers whose terms do not allow them to train their models on the data we send.
9.5 Account data. We handle the personal data of your team members and billing contacts as described in our Privacy Policy.
9.6 Referring partners. If a partner (such as an agency or affiliate) referred you to us, we show that partner your store name, the status of your Account, and the summary performance and billing figures needed to calculate and display their commission (such as attributed revenue and Fees billed). We never show partners End Customer Data or your conversations.
10. Intellectual property
10.1 Ours. We, and our licensors, own the Service and everything we use to provide it, including our software, prompts, models, rules, templates, designs and know-how, and all improvements to them. The Agreement does not transfer any of those rights to you.
10.2 Yours. You own your Brand Data, your trademarks and your content. You give us a non-exclusive, worldwide, royalty-free license to use them during the Agreement for the purpose of providing the Service, including in messages to End Customers and in the brand pages we host for you (such as your Messaging Terms page).
10.3 Messages. As between us, you may use the messages sent in your conversations for your own business purposes. We keep all rights in the templates, prompts and methods that produced them.
10.4 Feedback. If you send us suggestions or feedback, we may use them freely without any obligation to you.
10.5 Restrictions. You must not, and must not allow anyone else to: copy, modify or create derivative works of the Service; reverse engineer it or try to extract its source code, prompts or models, except where the law allows despite this restriction; resell or sublicense it; use it to build a competing product; get around its security or usage limits; or access it by automated means except through interfaces we provide.
10.6 Publicity. We will not name you as a client or use your logo publicly without your consent. An email is enough.
11. Confidentiality
11.1 What is confidential. “Confidential Information” means non-public information that one party shares with the other and that is marked confidential or that a reasonable person would understand to be confidential. This includes, for example, your Order Form terms, our pricing and our technology. It does not include information that is or becomes public without fault of the receiving party, that the receiving party already knew or developed independently, or that it received lawfully from someone else without a duty of confidence.
11.2 Obligations. Each party will use the other’s Confidential Information only for the Agreement, protect it with at least reasonable care, and share it only with employees, contractors, advisers and service providers who need it and who are bound by similar duties. A party may disclose Confidential Information when the law requires, after giving the other party notice where lawful.
11.3 Duration. These duties last during the Agreement and for three years afterwards, and for as long as the information remains a trade secret.
12. Third-party platforms and delivery
12.1 We depend on others. The Service relies on platforms and networks we do not control, including Apple’s iMessage, mobile carriers, messaging platforms, AI model providers, Shopify and the apps you connect. They may change, filter, delay, block or stop messages, features or access at any time.
12.2 No delivery guarantee. We do not guarantee that any message will be delivered, delivered by a particular channel (including iMessage), or delivered at a particular time. Carriers are not responsible for delayed or undelivered messages.
12.3 Platform requirements. If a platform, carrier or registry requires a change to how we message for you (for example, to your registration, content or volumes), we may make that change without liability to you.
13. Suspension
13.1 When we may pause. We may pause one or more flows, or suspend your Account, without liability, if we reasonably believe that:
- (a) you have breached the Acceptable Use Policy or section 6;
- (b) messages for your Store are drawing unusual levels of opt-outs, complaints, carrier filtering or spam reports;
- (c) a carrier, platform, registry or regulator requires it;
- (d) continuing would expose us, End Customers or other clients to legal, security or reputational harm; or
- (e) a payment has failed (as described in section 8.8).
13.2 Notice. Where we reasonably can, we will tell you before we suspend, explain why, and work with you to fix the issue. We will lift a suspension once the cause is resolved.
14. Warranties and disclaimers
14.1 Both of us. Each party promises that it has the authority to enter into the Agreement.
14.2 We promise to provide the Service with reasonable skill and care, in line with the Agreement and good industry practice.
14.3 You promise that: (a) you hold, and will keep, valid consent for every End Customer the Service messages, as described in section 6; (b) End Customer Data and Brand Data were obtained lawfully and you have the right to give them to us; (c) your Brand Data, products and offers are accurate and lawful; and (d) you will comply with all laws that apply to your business and your marketing.
14.4 Disclaimer. Apart from the promises in this section, the Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all other warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise any level of revenue, return, reply rate or conversion. We do not promise that the Service will be uninterrupted or error-free, or that AI-written messages will always be accurate.
15. Indemnities
15.1 Your indemnity. You will defend us and our officers, employees, contractors and service providers against any third-party claim, investigation or proceeding, and pay any resulting losses, damages, fines, penalties, settlements and reasonable costs (including legal fees), to the extent it arises from:
- (a) a lack of valid consent, or any other breach of section 6, for any message sent for your Store, including claims under the TCPA or similar state laws;
- (b) End Customer Data or Brand Data, or your instructions to us;
- (c) your products, offers, prices, policies, review program or customer service; or
- (d) your breach of the Acceptable Use Policy or of law.
15.2 Our indemnity. We will defend you against any third-party claim alleging that the Service, as we provide it, infringes that party’s US patent, copyright or trademark, or misappropriates its trade secret, and pay the resulting damages and costs finally awarded or agreed in settlement. This does not apply to claims caused by Brand Data, by your modifications, or by combining the Service with anything we did not provide. If such a claim occurs or seems likely, we may modify the Service so that it does not infringe, get you the right to keep using it, or end the Agreement and stop charging Fees.
15.3 Process. The party seeking protection must tell the other party promptly about the claim, let it control the defense and settlement (though no settlement may admit fault by, or impose obligations on, the protected party without its consent), and give reasonable help at the other party’s cost.
16. Limitation of liability
16.1 No indirect losses. Neither party is liable to the other for lost profits, lost revenue, lost data, loss of goodwill, or any indirect, incidental, special, consequential or punitive damages, even if it was told they were possible.
16.2 Cap. Each party’s total liability arising out of or relating to the Agreement (including the DPA) is limited to the Fees you paid or owed in the 12 months before the event that gave rise to the liability. The Agreement and the DPA share this one cap.
16.3 Exceptions. Sections 16.1 and 16.2 do not limit: (a) your obligation to pay Fees; (b) your indemnity under section 15.1; (c) either party’s liability for breach of section 11 (Confidentiality), except for any breach involving End Customer Data, which is covered by section 16.2; (d) liability for fraud, gross negligence or willful misconduct; or (e) any liability that cannot be limited by law.
17. Term and termination
17.1 Term. The Agreement starts when you accept it and continues until either of us ends it.
17.2 You may cancel at any time by uninstalling our app from your Store, by using the cancel option in your dashboard, or by emailing us. Cancellation takes effect when we process it, which we will do within one business day.
17.3 We may end the Agreement by giving you 30 days’ notice for any reason; immediately by notice if you materially breach the Agreement and do not fix the breach within 10 days of our notice; or immediately by notice if you breach section 6 (consent) or the Acceptable Use Policy in a way that we reasonably consider serious, or if an invoice is still unpaid 14 days after the charge first failed.
17.4 What happens when it ends.
- (a) All flows stop and no new messages are sent.
- (b) Where we still have access to your Store, we will try to deactivate any One-Use Codes that have not been used.
- (c) Fees for Attributed Orders placed up to the end date become due, and we charge them to your card on file in a final invoice.
- (d) Your access to the dashboard ends.
- (e) We delete End Customer Data as described in section 18.
17.5 Survival. Sections 8 (for Fees owed), 9 to 11, 14.4, 15, 16, 17.4, 18, 20 and 22, and any other terms that by their nature should survive, continue after the Agreement ends.
18. Your data when you leave
18.1 Export. You can ask us for an export of your conversation history and End Customer Data at any time while our app is installed, and we will provide it in a common machine-readable format. If the Agreement ends while our app stays installed, you can still ask for an export for 30 days afterwards. Uninstalling starts deletion, so ask for any export before you uninstall.
18.2 Deletion. We delete or irreversibly de-identify End Customer Data: (a) if you uninstall our app, within 30 days after Shopify sends us its data-erasure request for your Store (Shopify normally sends it 48 hours after the uninstall); or (b) if the Agreement ends while our app stays installed, within 30 days after the export period in section 18.1 ends. Copies in our backups are overwritten in the normal backup cycle, within a further 35 days.
18.3 What we keep. We keep only what we need for legal, tax, accounting and compliance reasons: invoices and the order details behind them, records of consent and opt-out requests reduced to the minimum needed to show compliance and keep honoring opt-outs, and security and audit logs. These are kept for the periods in our Privacy Policy and then deleted.
19. Changes to these Terms
19.1 We may update the Terms, the DPA and the policies listed in section 1.2. If a change materially affects your rights, we will notify the account owner by email or in your dashboard at least 30 days before it takes effect, unless the law or a carrier or platform requires a faster change. If you do not agree, you may cancel before the change takes effect. If you keep using the Service after the effective date, you accept the change.
19.2 Changes to Fees follow section 8.11.
20. Governing law and disputes
20.1 Governing law. The Agreement, and any dispute arising out of or relating to it, is governed by the laws of the state in which BubbleSMS is organized and by applicable United States federal law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
20.2 Talk first. Before starting proceedings, a party must notify the other in writing and give it 30 days to try to resolve the dispute through senior representatives. This does not prevent either party from seeking urgent injunctive relief, or us from collecting unpaid Fees.
20.3 Courts. Each party submits to the exclusive jurisdiction of the state and federal courts located in the state in which BubbleSMS is organized.
21. Notices
21.1 To us: by email to legal@bubblesms.com. Please put “Legal notice” in the subject line of any notice of breach, termination or legal claim.
21.2 To you: by email to the account owner’s address, or in your dashboard.
21.3 A notice takes effect on the business day after it is sent.
22. General
22.1 Entire agreement. The Agreement is the whole agreement between us about the Service and replaces any earlier understandings. Terms in your purchase orders or other documents do not apply.
22.2 Assignment. You may not transfer the Agreement without our written consent. We may transfer it to an affiliate, or to a buyer of all or most of our business or assets, by giving you notice.
22.3 Events beyond our control. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as outages or policy changes by carriers, Apple, Shopify or other platforms, internet failures, natural disasters, war, labor disputes or government action. This does not excuse paying Fees for Attributed Orders.
22.4 Independent parties. We are independent contractors. The Agreement does not create a partnership, joint venture, agency or employment relationship, except for the limited agency for carrier registration in section 5.5.
22.5 No third-party rights. No one other than the parties has rights under the Agreement.
22.6 Severability and waiver. If a court finds any provision unenforceable, it will be enforced to the maximum extent allowed and the rest of the Agreement stays in force. Not enforcing a right is not a waiver of it.
22.7 Sanctions and export. You confirm that you are not subject to US sanctions and will not use the Service in breach of export or sanctions laws.
22.8 Electronic acceptance. Accepting the Agreement electronically, including by ticking a box, is as binding as a signed paper copy.
22.9 Language. The Agreement is written in English, and the English version controls.
